The 114th Aviation Company Association Constitution and Bylaws Constitution
Article
I - Name This
association shall be known as "The 114th Aviation Company
Association". It is an organization for all past, present and
future members of the 114th Aviation Company (also, at different points
in history, designated the 114th Air Mobile Company, The 114th
Aviation Company (Air Mobile Light) and 114th Assault Helicopter
Company), and members of units historically attached to the 114th
Aviation Company. Future reference to the 114th Aviation Company is
meant to include all units that were historically attached to the 114th
Aviation Company. The
114th Aviation Company Association is dedicated to the following
objectives: A.
To renew and preserve the camaraderie and esprit de corps among members
of the 114th Aviation Company Association. B.
To foster, reinforce and perpetuate love of country, respect for the
flag of the United States of America, and a strong sense of patriotism. C.
To locate all current and former members of the 114th Aviation Company
and attached units. D.
To encourage all current and former members of the 114th Aviation
Company and attached units to become affiliated with the Association. E.
To gather data and material of an historical nature to compile and
publish an accurate and detailed history of the 114th Aviation Company. Article III - Operation A. The 114th Aviation Company Association will operate
on a calendar year basis. B.
The 114th Aviation Company Association will operate as a non-profit
organization. C.
A Bi-annual audit will be conducted by a recognized financial agency
selected by the Executive Council. This financial oversight may be
performed by a recognized financial agency, accountant (either paid or
pro bono), or informally by an Association member(s) who is/are not
members(s) of the Executive Council. D. In
the event of dissolution of this corporation, all assets shall be
liquidated and all financial obligations of the corporation shall be
paid. Memorabilia, historical records, photos and other documents
belonging to the Association shall be donated to a non profit
organization or organizations dedicated to preserving and promoting the
heritage and legacy of the 114th Aviation Company. Article IV - Reunions A. Reunions will be held every other year commencing in 1991. B. Reunions will be held at a time and place to be
determined by the Executive Council. Time and place will be influenced
by informal polling of the Association membership. Article V - Membership A.
Membership is open to all past, present and future members of the 114th
Aviation Company and members of units historically attached to the 114th
Aviation Company; to surviving family members of KIA/Deceased personnel;
and to certain other persons/organizations described below under the
Associate classification; however membership shall be limited to the
membership classification to which such person/organization qualifies. B.
Membership classifications are General, Active, Honorary, Associate, and
Life; and are described as follows: 1. National Director. 2. Deputy National Director. 3. Two (2) Members at Large. 4. Secretary. 5.
Treasurer. 1. National Director. 2. Deputy National Director. 3. Two (2) Members at Large. 4. Secretary. 5. Treasurer. 3.
In addition to business conducted at the Reunion, unusual and pressing
business may be conducted by the Executive Council at other times by
mail or by conference calling. a. Membership. b. Historical. c. Reunion. d. Nominating.
Article VII - Voting Laws
of the 114th Aviation Company Association. Chapters must comply with the
Tax Exempt Rules under which the parent Association is determined to be
exempt. Each chapter, at inception and on each anniversary thereafter,
will furnish the Executive Council the names of its' officers, and the
nature of activities planned. Search
for former members, conducted in coordination with the Regional Director
and National Membership Committee, should be a high priority in chapter
activities.
BYLAWS Chapter I – Members Chapter
3 - Election of Officers 1.
Only Active and Life members will be eligible to hold elective office. 2.
Officers of the 114th Aviation Company Association will serve for a term
of two (2) years. 3.
Members at Large will be limited to a maximum of four (4) years. 4.
The Nominating Committee will develop a slate of candidates who are
willing and able to serve as Officers of the 114th Aviation Company
Association. A list of nominees will be presented to the membership
during Reunion registration. Additional candidates may not be nominated
by the membership during the election. 5.
Officers of the 114th Aviation Company Association will be elected
during the Reunion business session and will be installed to that office
at the close of the Reunion. 6.
The election of Officers will be by ballot. Should there be only one
candidate for office, the ballot requirement may be waived. Chapter
4 - Succession to Office 1.
Should the National Director resign, become incapacitated or otherwise
be unable to serve, the Deputy National Director shall succeed him for
the remainder of the term. Election for the National Director position
will be held at the next reunion. The position of Deputy National
Director will remain vacant until the next election. 2.
Should the Deputy National Director resign, become incapacitated or
otherwise be unable to serve, the position of Deputy National Director
will remain vacant until the next election. 3.
Should both the National Director and the Deputy National Director be
unable to serve, the Senior Member at Large will assume the duties of
National Director. The post of Deputy National Director will remain
vacant and a new National Director and Deputy National Director will be
elected at the next Reunion. 4. Should the Senior
Member at Large be unable to serve, the Junior Member at Large will
become the Senior Member for the remainder of the term. The National
Director will appoint a Junior Member at Large subject to ratification
by the Executive Council. 5. Should the Secretary
be unable to serve, the National Director will appoint a new Secretary
for the remainder of the term, subject to ratification of the Executive
Council. Chapter 5 - Duties of Officers 1. The National Director
will preside at the business meetings of the 114th Aviation Company
Association Reunion and at all Executive Council meetings. 2.
The National Director will appoint or remove Committee
Chairpersons, subject to ratification of the Executive Council. 3.
The duties of the Officers will be those which are customary for
such offices, and such other functions as may be prescribed by the
Constitution and By Laws of the 114th Aviation Company Association, the
Executive Council and written job descriptions. Chapter 6 - Treasurer 1. The Treasurer will be appointed by the National Director and
ratified by the Executive Council. 2.
Once appointed, the Treasurer will serve in that capacity for an
unspecified period of time. 3.
The Treasurer will sign checks for debts legally incurred by the 114th
Aviation Company Association, and will perform other duties customary
for the office.
